When two relevant website give back links to each other is called link exchange. It may be fro content, header, footer, banner, image etc.
But it should be from relevant site.
To do link exchange just ask another websites owner.
after penguin 2.0 its a bad idea. Google will penalize site if we do it on large scale for page ranking and keyword ranking..
But i think link exchange is good because you have chances to get the traffic that another site got, it provides a relevant resource useful to your audience.
Its good if you it in a small scale with good intention .

Link exchange means giving links on our site and taking links from other site....there are three diffrent way we are doing this....
One way link exchange A give link to B Exam. Directory submission
Two Way link exchange Reciprocal link is a mutual link between two objects Exaple Article submission and blog submission
Three way link exchange :SITE A links to SITE B, SITE B links to SITE C and SITE C links back to SITE A to complete the loop. Example : link wheel

Link exchange is helps you to get a good Alexa rank if you get a visitor through that process. I suppose that you have to keep step away from link exchange because as of Google is take a watch on it.
