Difference between Managed Dedicated Servers and Managed Windows VPS ??

Dedicated Servers and Windows VPS are the two basic web hosting services with characteristics of their own. Now Question is that what is the major difference of Managed Dedicated Servers and Managed Windows VPS ?? Both are termed 'Managed'. Please let me know Guys

I have not used Managed Windows VPS, but from my experience of Dedicated servers, I will say it’s basically one where we have to do nothing and everything is taken care especially security type of stuff. I am using Dedicated servers only with Serveria, it’s 100% fully managed, so never have to think too much over this!
